Acceptance of Terms
By creating an account or using our Services, you confirm that:
- You are at least 18 years old
- You have the legal authority to enter into these Terms
- If using on behalf of an organization, you have authority to bind that organization
- You will comply with all applicable laws and regulations
These Terms constitute a binding agreement between you and Task First Automation Inc..
Description of Services
TFA provides a cloud-based CRM platform that includes:
- Contact and lead management
- Browser-based calling and telephony (Dialer)
- Phone number provisioning and management
- Email marketing, campaigns, and automation
- Team collaboration and user management
- Scheduling, invoicing, and website builder tools
- Reporting and analytics
- API access (where applicable)
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.
Account Registration and Security
- You must provide accurate and complete information
- One person or entity per account (unless authorized for multiple)
- You are responsible for all activity under your account
- Keep your login credentials confidential
- Enable recommended security features (e.g., two-factor authentication)
- Notify us immediately of any unauthorized access
- Administrators can manage users and permissions
- Users must comply with their organization's policies
- Organizations are responsible for their users' compliance
Subscription and Payment
- Services are provided on a subscription basis
- Pricing and features vary by plan
- Changes to pricing will be communicated in advance
- Subscriptions are billed in advance (monthly or annually)
- All fees are non-refundable except as stated in our Refund Policy
- You authorize us to charge your payment method automatically
- Certain features, including the Dialer, are billed through a prepaid wallet balance
- You must maintain a sufficient wallet balance for services to remain active
- If your wallet balance is insufficient, a grace period of up to 3 days applies before service suspension
- You can top up your wallet at any time through your billing settings
- Prices exclude applicable taxes unless stated otherwise
- You are responsible for all applicable taxes
- You may cancel your subscription at any time
- Access continues until the end of the current billing period

Dialer & Telephony Services
The Dialer is a separately licensed add-on that provides browser-based calling, inbound call routing, and phone number management through our telephony infrastructure.
- Dialer access requires a per-seat subscription at $39.99 per seat per month
- Each seat enables one user to make and receive calls
- Phone numbers are billed separately: local numbers at $9.99/month, toll-free numbers (888, 877, 866, 855, 844, 833) at $19.99/month
- Seats and phone numbers are billed monthly from your wallet balance
- A completed identity verification (KYC) process is required before purchasing Dialer seats or phone numbers
- We reserve the right to decline or revoke Dialer access if verification requirements are not met or if fraudulent information is provided
- Dialer plans include unlimited inbound and outbound calls within the United States and Canada, subject to fair use
- "Unlimited" means usage consistent with normal business operations for the number of licensed seats
- We reserve the right to throttle, suspend, or terminate accounts that exhibit usage patterns inconsistent with legitimate business use, including but not limited to: automated dialing without human interaction, excessive call volumes disproportionate to seat count, use of the service for robocalling, telemarketing without appropriate consent, or any activity that violates the Telephone Consumer Protection Act (TCPA) or applicable regulations
- Calls to international destinations outside the US and Canada are not included and may require additional charges
- Upon cancellation or expiry of your Dialer subscription, your provisioned phone numbers are held for up to 30 days
- Numbers not renewed within this period may be released and cannot be recovered
- TFA reserves the right to release numbers at its discretion after the retention period
- Releasing a provisioned number is permanent; we are not responsible for loss of a number after it has been released
- The Dialer relies on third-party telephony infrastructure. By using the Dialer, you agree to comply with all applicable telecommunications laws and regulations
- We are not responsible for call quality, availability, or service interruptions attributable to our telephony provider's infrastructure
Acceptable Use
You agree not to:
- Violate any laws or regulations
- Infringe on intellectual property rights
- Transmit harmful, offensive, or illegal content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Use our Services for spam or unsolicited communications
- Reverse engineer or attempt to extract source code
- Exceed rate limits or abuse API access

Intellectual Property
- TFA, its logo, and all related marks are our trademarks
- Our Services, software, and documentation are protected by copyright
- These Terms do not grant you any rights to our intellectual property
- You retain ownership of data you upload to our Services
- You grant us a license to use your content to provide the Services
- You are responsible for ensuring you have rights to your content
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our Services are provided "as is" without warranties of any kind
- We do not guarantee uninterrupted or error-free service
- We are not responsible for third-party services or integrations
- Our total liability is limited to the fees you paid in the 12 months prior to the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for loss of data, profits, or business opportunities
- These limitations do not apply where prohibited by law
- Nothing limits liability for fraud, gross negligence, or willful misconduct
Indemnification
You agree to indemnify and hold harmless TFA and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or data uploaded to our Services
Termination
- You may close your account at any time
- Export your data before closure (we provide data export tools)
- We may suspend or terminate your account for violation of these Terms
- We may terminate with 30 days notice for any reason
- We may terminate immediately for serious violations
- Your right to use our Services ends immediately
- We may delete your data after a reasonable retention period
- Provisions that should survive termination will remain in effect
Dispute Resolution
- These Terms are governed by the laws of [Your Jurisdiction]
- Without regard to conflict of law principles
- Contact us first to resolve disputes informally
- If unresolved, disputes will be settled by binding arbitration
- Class action waiver: disputes must be brought individually
- Either party may seek injunctive relief in court

Continued use of our Services after changes take effect constitutes acceptance. If you disagree with changes, you must stop using our Services.
